L’accordo quadro è sempre più utilizzato nei rapporti commerciali internazionali come uno dei contratti che vengono stipulati in sede di chiusura della transazione complessiva. Il progressivo aumento della complessità del business trattato dagli operatori implica (o potremmo anche dire “impone”) che l’accordo complessivo raggiunto dalle parti non possa essere regolato solo attraverso un unico strumento contrattuale. Soprattutto negli affari riguardanti il trasferimento di partecipazioni societarie, è davvero raro che il solo accordo di trasferimento quote sia in grado di riassumere e di Includere tutte le pattuizioni e condizioni concordate dalle parti: è normale che, allo stesso tempo, le parti stipulino anche, ad esempio, un patto parasociale, un patto di non concorrenza, un calendario di versamento del capitale, una delibera dell’assemblea societaria o del consiglio di amministrazione. In questo contesto, l’accordo quadro diviene uno strumento adeguato per evidenziare l’impegno di ciascuna parte a stipulare tutti i diversi contratti ed atti concordati nonchè determinare la diversa tempistica della stipulazione di ciascun singolo contratto. Inoltre, se la stipulazione di uno o più contratti (ad es. accordo di trasferimento di azioni e patto parasociale) è condizionata al verificarsi di un evento preciso (o al rilascio di una specifica dichiarazione), l’accordo quadro consente di evitare l’inserimento di una condizione sospensiva in un contratto che è destinato a governare e regolare una relazione a lungo termine. Negli ultimi anni, il nostro studio ha sperimentato una nuova potenzialità dell’accordo quadro, utilizzando tale strumento prima della chiusura, durante le fasi avanzate della negoziazione dell’accordo. L’accordo quadro è, infatti, uno strumento adatto nei casi in cui l’accordo tra le parti diventa chiaro negli aspetti principali, ma è necessaria un’ulteriore negoziazione e/o una verifica specifica che condizionano le ulteriori fasi necessarie per raggiungere la chiusura della transazione. In questa prospettiva, l’accordo quadro, impegnando le parti a un “programma” preciso di atti o comportamenti successivi da porre in essere, potrebbe sostituire efficacemente strumenti tradizionali quali il “memorandum di intese (Memorandum of understanding)”, la “lettera di intenti vincolante (binding letter of intent)” o gli “accordi preliminari (heads of agreements”). The progressive increase of the complexity of the business dealt by operators implies (we either could say “dictates”) that the overall agreement reached by the parties cannot be ruled only through a single contract. Particularly in deals concerning “equity”, it is really rare that the share transfer agreement is able to summarize ad include all covenants and conditions agreed by the parties: it is normal that, at the same time, parties will be stipulating also, for instance, a shareholders’ agreement, a non-competition agreement, a capital call schedule, the resolution of the general assembly or of the board of the directors. In this context, framework agreement could be a suitable instrument to highlight the commitment of each part to stipulate all the different contracts agreed and either to determine the timing of the signature of each single contract. Furthermore, if the stipulation of one or more contract (e.g. share transfer agreement and shareholders’ agreement) is conditioned on the occurrence of a precise event (or of the release of a specific declaration), framework agreement consent to avoid the insertion of a condition precedent in a contract that is supposed to rule a long term relationship. During the last years, our firm experienced a new potentiality of the framework agreement, using such an instrument before the closing, during the advanced phases of the deal negotiation. Framework agreement is really suitable when the agreement between the parties becomes clear in the main points and aspects, but a further negotiation or a specific verification is required and this negotiation or verification is conditioning the further steps needed to reach the closing.
